These terms govern all sales made through the Solergy Solutions trade portal. By placing an order you accept these terms. The portal is a business-to-business (B2B) platform available to approved trade account holders only.
1. Trade accounts
Access to pricing and purchasing requires an approved trade account. We may approve, decline, suspend or withdraw accounts at our discretion. You warrant that the information provided in your application (including company registration and VAT details) is accurate and will be kept up to date. You are responsible for keeping your login credentials secure and for all orders placed through your account. Pricing tiers are assigned by us and may be reviewed from time to time.
2. Pricing and quotations
All prices are quoted in South African Rand (ZAR) and exclude VAT unless stated otherwise; VAT at the prevailing rate is added at checkout. Prices are linked to exchange rates and supplier pricing and may change without notice; the price at the time your order is accepted applies. Written quotations are valid for the period stated on the quotation. Obvious pricing or product information errors on the portal do not bind us — we will inform you and offer the correct price before proceeding (E&OE).
3. Orders and stock
An order becomes binding when we confirm it. Stock availability shown on the portal is indicative; where an item is unavailable, we will advise the expected lead time or offer an alternative or refund. Special-order (indent) items may require an upfront deposit and cannot be cancelled once ordered from the supplier.
4. Payment
Unless a credit facility has been agreed in writing, payment in full is required before dispatch or collection. EFT payments must reference your order number or company name, and goods are released once funds reflect in our account. Credit facilities, where granted, are subject to separate credit terms.
5. Delivery and collection
Delivery costs and lead times are indicated at checkout or agreed per order. Collection is available from our premises in Moreleta Park, Pretoria, during business hours. Delivery dates are estimates given in good faith; we are not liable for losses caused by delays beyond our reasonable control. Risk in the goods passes to you on delivery or collection. For deliveries outside South Africa (including Botswana and Zambia), any customs duties, import taxes, permits and clearance costs are for your account unless agreed otherwise in writing.
6. Ownership
Ownership of goods remains with Solergy Solutions until paid for in full. Until then, you may not sell, pledge or encumber the goods, and we may recover them if payment is not made.
7. Returns and warranties
Returns, shortages, damage claims and warranty claims are handled in accordance with our Returns & Refunds Policy, which forms part of these terms. Manufacturer warranties (for example Victron Energy and Solar MD factory warranties) apply to the respective products and are facilitated by us with the manufacturer.
8. Product information and suitability
Product specifications, datasheets and images are supplied by the manufacturers and are provided in good faith. You are responsible for confirming that products are suitable for your application and are selected, installed and commissioned by suitably qualified persons in accordance with applicable regulations (including SANS standards) and the manufacturer’s instructions. Nothing on the portal constitutes engineering or design advice.
9. Limitation of liability
To the extent permitted by law, our liability in connection with any order is limited to the value of the goods in that order. We are not liable for indirect or consequential losses, including loss of profit, loss of generation revenue, or costs of removal and re-installation. Nothing in these terms excludes liability that cannot lawfully be excluded.
10. Force majeure
We are not liable for failure or delay in performance caused by events beyond our reasonable control, including supplier or shipping delays, strikes, utility failures and load shedding, or acts of authority.
11. Personal information
We process personal information in accordance with our Privacy Policy and POPIA.
12. General
These terms are governed by the laws of the Republic of South Africa, and the courts of Gauteng have jurisdiction. If any provision is unenforceable, the remainder stays in force. We may update these terms from time to time; the version published on the portal at the time of your order applies. No variation is binding unless agreed by us in writing.
